Condizioni generali di fornitura e vendita

1. Ambito di applicazione

1.1 Tutte le offerte, le vendite, le forniture e i servizi della società Wirtgen Macchine Srl. sono disciplinati esclusivamente dalle presenti Condizioni di fornitura e vendita. Qualsiasi condizione del committente contrastante o divergente dalle stesse non sarà riconosciuta, anche qualora il fornitore esegua la fornitura per il committente senza riserve pur essendo a conoscenza di condizioni dello stesso contrastanti o divergenti. Qualsiasi divergenza dalle presenti Condizioni di fornitura e vendita sarà valida soltanto dietro l'approvazione scritta del fornitore.

1.2 Le presenti Condizioni di fornitura e vendita valgono anche per tutte le operazioni commerciali analoghe, condotte in futuro con lo stesso committente, senza necessitare di un ulteriore accordo specifico.

1.3 Per le forniture che implicano un montaggio in loco, valgono altresì le Condizioni speciali per i montaggi supervisionati del fornitore.

2. Offerta e stipula del contratto

2.1 Le offerte del fornitore sono sempre senza impegno, salvo diversamente indicato in maniera esplicita. I preventivi non sono vincolanti. Le bozze di progetto in ambito impiantistico, le prime offerte e i preventivi saranno presentati gratuitamente, salvo diversamente convenuto. Il fornitore si riserva la facoltà di addebitare un congruo compenso per ulteriori bozze di progetto, offerte o preventivi nonché per il lavoro di progettazione, qualora non venga stipulato un contratto di fornitura.

2.2 Il contratto di fornitura entrerà in vigore soltanto tramite la conferma scritta del fornitore, parimenti a qualsiasi modifica, integrazione o accordo accessorio.

2.3 I documenti a corredo dell'offerta, come immagini, disegni o informazioni inerenti a pesi e misure nonché le bozze di progetto elaborate, possiedono un mero valore indicativo, salvo nel caso in cui siano stati espressamente definiti come vincolanti.

2.4 Il fornitore mantiene tutti i diritti d'autore e di proprietà sulle immagini, sui disegni, sulle bozze di progetto, sui preventivi, sui calcoli e sugli altri documenti, i quali non potranno essere resi accessibili a terzi senza la previa approvazione esplicita del fornitore formulata per iscritto e, su richiesta dello stesso, dovranno essergli tempestivamente restituiti

(i) qualora un ordine non si concretizzi, ovvero
(ii) non appena l'ordine sarà stato completamente eseguito.

3. Prezzo d'acquisto e pagamento

3.1 Salvo diversamente convenuto, i prezzi del fornitore sono da ritenersi "franco fabbrica", al netto dei costi di imballaggio e di carico. Gli oneri aggiuntivi, in particolare per l'installazione e l'avviamento, nonché per l'ottenimento di particolari autorizzazioni amministrative e per l'adempimento dei requisiti stabiliti dalle autorità pubbliche, saranno a carico del committente, salvo diverso accordo.

Gli importi saranno inoltre maggiorati dell'IVA di legge.

3.2 Salvo diversamente convenuto, i pagamenti dovranno essere eseguiti per il totale, senza costi per il fornitore, come indicato di seguito:

Impianti: conformemente a un piano di pagamento da definire separatamente.
Componenti di impianti: prima della consegna, al netto.
Macchine: prima della consegna, al netto.
Ricambi: prima della consegna, al netto.
Altro: entro 14 giorni dalla data della fattura, al netto.

3.3 Le cambiali e gli assegni saranno sempre accettati soltanto pro solvendo. Tutte le spese di sconto e le commissioni cambiarie saranno a carico del committente.

3.4 Per i pagamenti tramite lettera di credito valgono le disposizioni pubblicate dall'ICC concernenti le pratiche e le consuetudini uniformi per il credito documentario "Uniform Customs and Practice for Documentary Credits", nella versione di volta in volta in vigore.

3.5 Al committente non spetta alcun diritto di compensazione, di ritenzione o di riduzione, salvo nei casi in cui le rispettive contropretese non vengano confutate dal fornitore o siano state accertate in sede giudiziaria. Tale condizione vale anche per l'esercizio di diritti in virtù di una responsabilità per vizi.

3.6 In caso di morosità del committente, il fornitore potrà applicare degli interessi di mora, il cui tasso per l'anno ammonterà a otto (8) punti percentuali sopra il tasso base. Il tasso base varierà ogni 1° gennaio e 1° luglio dell'anno dei punti percentuali, di cui il valore di riferimento è aumentato o diminuito dall'ultima variazione del tasso base. Il valore di riferimento è dato dal tasso di interesse per la più recente operazione di rifinanziamento principale della Banca centrale europea prima del primo giorno di calendario del semestre in questione. Il fornitore potrà richiedere il risarcimento di un danno da mora maggiore, qualora sia in grado di dimostrarlo. Da parte sua, il committente potrà comunque dimostrare che il danno derivato dal ritardo di pagamento era inferiore.

3.7 Qualora il fornitore dovesse venire a conoscenza di circostanze, atte a mettere in discussione l'affidabilità creditizia del committente, tutti i crediti differiti diventeranno immediatamente esigibili.

Inoltre, in tal caso il fornitore potrà richiedere il pagamento anticipato o la costituzione di garanzie.

4. Consegna

4.1 Le date (pronta consegna, consegna, inizio del montaggio, avviamento e disponibilità operativa ecc.) ovvero i termini ivi correlati saranno di volta in volta convenuti separatamente. La decorrenza e il rispetto dei termini concordati presuppongono l'adempimento degli obblighi di collaborazione del committente, in particolare la ricezione puntuale di tutti gli elementi che è tenuto a mettere a disposizione, dei documenti, dei permessi, delle abilitazioni e delle analisi di competenza dello stesso, nonché il rispetto delle condizioni di pagamento stabilite, in particolare l'esecuzione dei pagamenti convenuti (3.2) ovvero l'apertura di una lettera di credito (3.4) da parte del committente. Nel caso in cui tali premesse non vengano soddisfatte debitamente e puntualmente, i termini saranno estesi di conseguenza, tuttavia almeno per il periodo del ritardo. Tale condizione non è applicabile, qualora il ritardo sia imputabile al solo fornitore.

4.2 Il rispetto dei termini è condizionato alla ricezione corretta e puntuale delle prestazioni necessarie da parte del fornitore dai rispettivi fornitori.

4.3 Salvo diversamente convenuto, ogni consegna avrà luogo "franco fabbrica" ovvero la costruzione di un impianto si considererà eseguita nel momento in cui subentrerà la disponibilità operativa. Nei rapporti interni con il fornitore, il committente si assume tutti gli obblighi imposti a quest'ultimo dal regolamento tedesco sugli imballaggi (Verpackungsverordnung), dispensandolo dagli stessi.

4.4 Il termine di consegna sarà ritenuto rispettato, qualora l'oggetto della fornitura abbia lasciato lo stabilimento del fornitore entro la scadenza dello stesso ovvero il fornitore abbia notificato la pronta consegna. Per l'impiantistica, la notifica di pronta consegna è sostituita dalla notifica di disponibilità operativa. Nel caso in cui debba avere luogo l'accettazione, salvo nei casi di mancata accettazione per giusta causa, ad essere determinante sarà la data della stessa, o in via subordinata la notifica di pronta consegna ovvero, in ambito impiantistico, la notifica di disponibilità operativa.

4.5 Il fornitore potrà erogare forniture e servizi parziali in qualsiasi momento.

4.6 I ritardi dovuti a cause di forza maggiore e a eventi che complicano notevolmente o impossibilitano la consegna per il fornitore, come ad esempio guerre, attacchi terroristici, diffusione di malattie su vasta scala come contagi di massa, epidemie e pandemie (ad esempio ebola, morbillo, SARS, MERS, COVID-19 o altre gravi malattie virali di tipo analogo, colera ecc.) ivi compresa l'eventuale istituzione di zone protette, restrizioni alle importazioni e alle esportazioni, scioperi, serrate o disposizioni delle autorità pubbliche, anche laddove interessino i fornitori o i subfornitori del fornitore (di seguito indicati come casi di forza maggiore), comporteranno un'estensione dei termini di consegna convenuti per la durata del ritardo concernente la fornitura o il servizio, a cui si andrà ad aggiungere un congruo tempo di ripresa dell'attività. Qualora anche nei casi di forza maggiore la consegna venga comunque eseguita, comportando delle spese aggiuntive, come costi di trasporto o di magazzinaggio più elevati a causa di speciali misure di sicurezza, della scarsità dei mezzi di trasporto o dell'interruzione di una fornitura già iniziata, tali oneri saranno a carico del committente. Ove possibile, il fornitore comunicherà al committente l'inizio, la fine e la durata prevista delle circostanze di cui sopra.

4.7 Non sussisterà un ritardo da parte del fornitore, qualora nel rispetto dei termini di consegna contrattuali fino alla consegna dell'oggetto effettivo della fornitura metta a disposizione del committente una soluzione sostitutiva, atta a soddisfare i requisiti tecnici e funzionali di quest’ultimo sotto ogni aspetto essenziale, e si faccia carico di tutti i costi derivanti dalla messa a disposizione della stessa.

4.8 In caso di ritardo da parte del fornitore, il committente concederà allo stesso un'estensione del termine adeguata per l'esecuzione del contratto.

4.9 Qualora il ritardo dovesse persistere anche allo scadere di un'estensione adeguata del termine cagionando dei danni al committente, questi potrà richiedere un risarcimento forfettario dei danni dovuti al ritardo. Tale somma ammonterà allo 0,5 % per ogni settimana piena di ritardo, tuttavia, complessivamente, a un massimo del 5 %, ovvero in ambito impiantistico a un massimo del 3 %, del valore della quota della prestazione totale che non può essere utilizzata puntualmente o nei termini contrattuali a causa del ritardo, facendo riferimento al valore di fornitura netto franco fabbrica, senza trasporto, montaggio o altri costi accessori. Si escludono ulteriori diritti risarcitori per ritardo.

Qualora, tenuto conto delle eccezioni previste dalla legge, il committente dovesse concedere al fornitore in ritardo un secondo termine adeguato per la prestazione e tale termine non dovesse essere rispettato, potrà recedere dal contratto ai sensi delle disposizioni legali.

5. Trasferimento del rischio, trasporto, ritardo di accettazione, disponibilità operativa

5.1 Il rischio sarà trasferito al committente non appena l'oggetto della fornitura sarà pronto per il ritiro ovvero, in ambito impiantistico, sarà notificata la disponibilità operativa dal fornitore (si veda il punto 4.3), ossia anche in presenza di forniture parziali o nel caso in cui il fornitore si sia assunto anche ulteriori prestazioni, ad esempio i costi di spedizione o la consegna e l'installazione. Nel caso in cui l'accettazione sia richiesta, sarà quest'ultima ad essere determinante per il trasferimento del rischio e dovrà essere condotta puntualmente alla data prevista o, in via subordinata, in seguito alla notifica di messa a disposizione della merce per l'accettazione da parte del fornitore. Il committente non potrà rifiutare l'accettazione in presenza di un vizio non sostanziale. Qualora il committente non dovesse dichiarare l'accettazione, nonostante l'assenza di vizi o la sola presenza di un vizio non sostanziale, l'oggetto della fornitura sarà da ritenersi accettato allo scadere di un periodo di un mese dalla notifica di messa a disposizione della merce per l'accettazione e comunque entro sei mesi dal momento in cui il fornitore avrà lasciato lo stabilimento. In caso di fornitura e installazione di un impianto, l'accettazione sarà sostituita dalla notifica di disponibilità operativa.

5.2 Qualora la spedizione dovesse essere ritardata o non dovesse avere luogo a causa di circostanze non imputabili al fornitore, il rischio passerà al committente a partire dalla data della notifica di pronta consegna, di messa a disposizione della merce per l'accettazione ovvero di disponibilità operativa.

5.3 Salvo diversamente convenuto, il trasporto dell'oggetto della fornitura avverrà a spese e a rischio del committente.

5.4 Su richiesta del committente e a spese dello stesso, il fornitore assicurerà la spedizione contro i rischi di trasporto.

5.5 Nel caso in cui il committente ritardi l'accettazione o non adempia ad altri obblighi di collaborazione, il fornitore potrà richiedere il risarcimento dei danni riportati, ivi comprese le eventuali spese aggiuntive, in particolare dei costi originati da un'accettazione ritardata della fornitura ovvero da un ritardo che posticipa l'inizio del montaggio e dell'avviamento nonché dal differimento della disponibilità operativa.

5.6 Le clausole commerciali eventualmente applicate, come FOB, CFR, CIF ecc., dovranno essere interpretate conformemente agli Incoterm dell'ICC di volta in volta in vigore.

6. Riserva di proprietà e altre garanzie

6.1 Il fornitore si riserva il diritto di proprietà sull'oggetto della fornitura fino al saldo di tutti i crediti maturati nei confronti del committente in virtù dell'accordo commerciale, ivi compresi i crediti futuri, anche correlati a contratti stipulati in concomitanza o successivamente. Tale condizione vale altresì nel caso in cui singoli crediti del fornitore, o la totalità degli stessi, siano stati raggruppati in un conto corrente, il cui saldo è stato fissato e riconosciuto. In presenza di una condotta del committente in violazione ai termini del contratto, in particolare in caso di morosità, previo sollecito il fornitore potrà riprendere possesso dell'oggetto della fornitura notificando al contempo il recesso e il committente sarà tenuto alla restituzione.

6.2 Il committente potrà disporre dell'oggetto della fornitura nel normale svolgimento dell'attività, purché e fintantoché siano rispettate le condizioni di cui ai punti 6.3, 6.4 e 6.5 inerenti alla copertura dei crediti maturati dal fornitore nei confronti dello stesso. La violazione dell'obbligo riportato nella frase precedente conferisce al fornitore il diritto alla risoluzione immediata dell'intero rapporto commerciale con il committente.

6.3 Con il presente documento, tra il fornitore e il committente si conviene che, con la stipula di un contratto di fornitura, tutti i crediti del committente originati dalla rivendita o dalla locazione futura della fornitura a terzi o per un'altra motivazione (assicurazione, illecito ecc.) passeranno al fornitore a copertura di tutti i crediti da egli maturati nel quadro del rapporto commerciale intrattenuto con il committente. Pertanto, sin da ora il committente cede al fornitore tutti i crediti da egli maturati in conseguenza alla rivendita, alla locazione della fornitura o all'uso dell'impianto per l'ammontare complessivo, ivi compresi i diritti accessori. Da parte sua, il fornitore accetta sin da ora la cessione. Tuttavia, il committente potrà comunque riscuotere i crediti ceduti fintantoché il fornitore non richiederà di rendere pubblica la cessione. Al committente è proibita la cessione ripetuta di crediti già ceduti al fornitore. Inoltre, il committente è tenuto a trasferire al fornitore la proprietà o un altro diritto sui beni, sulle parti di macchine ovvero sui componenti e sulle macchine usate di qualsiasi tipo, da egli accettati in pagamento contestualmente a una rivendita, non appena avrà acquisito la proprietà o un altro diritto sugli stessi. Il committente è altresì tenuto a conservare, trattare con cura e assicurare in maniera adeguata i beni summenzionati per il fornitore, a titolo gratuito (si veda il punto 6.7).

6.4 Qualora le garanzie di cui ai punti 6.1, 6.2 e 6.3 non dovessero essere riconosciute o non fossero illimitatamente opponibili ai sensi del diritto vigente nel paese in cui è situato l'oggetto della fornitura, il committente si impegna sin da ora a collaborare nell'espletamento di tutte le operazioni necessarie (in particolare in relazione a eventuali obblighi di registrazione o di notifica ecc.) e in special modo a fornire le dichiarazioni di volontà necessarie a tal fine, affinché le garanzie possano essere costituite in conformità con il diritto vigente. Il fornitore potrà trattenere l'oggetto della fornitura o interrompere i lavori di montaggio e avviamento fintantoché non saranno validamente costituite le garanzie necessarie. Qualora la costituzione delle garanzie non fosse opponibile in virtù dei requisiti di legge locali o non fosse attuabile per altre ragioni, il committente si impegna sin da ora a offrire al fornitore delle garanzie equivalenti. Il committente è tenuto a informare il fornitore in relazione a eventuali requisiti di forma e legali di altra natura, contrastanti con la costituzione della garanzia di cui ai punti 6.1, 6.2 e 6.3, senza che venga richiesto e senza indugio alla stipula del contratto o successivamente alla stessa.

6.5 La lavorazione o la trasformazione dei beni sottoposti a riservato dominio sarà sempre eseguita dal committente per il fornitore. Nel caso in cui il bene sottoposto a riservato dominio venga lavorato assieme ad altri beni non appartenenti al fornitore, il fornitore acquisirà la comproprietà del nuovo bene proporzionalmente al valore del bene sottoposto a riservato dominio rispetto agli altri beni lavorati al momento della lavorazione.

Qualora merci del committente dovessero essere unite ad altri beni mobili ovvero dovessero essere mescolate in maniera inscindibile con gli stessi dando origine a un bene unitario, laddove l'altro bene sia da ritenersi il costituente principale, il committente trasferirà al fornitore la comproprietà proporzionalmente, nella misura in cui il costituente principale sia di sua proprietà.

Il committente conserverà la proprietà o la comproprietà a titolo gratuito per il fornitore. Per il bene generato dalla lavorazione o dalla trasformazione valgono altresì le stesse disposizioni applicabili al bene sottoposto a riservato dominio.

6.6 Qualora il valore delle garanzie fornite di cui ai punti da 6.1 a 6.5 dovesse superare di oltre il 10 % i diritti spettanti al fornitore in virtù del rapporto commerciale intrattenuto con il committente, su richiesta di quest'ultimo il fornitore svincolerà le garanzie eccedenti a propria scelta.

6.7 Nel caso in cui

  • in virtù della riserva di proprietà l'oggetto della fornitura non sia ancora completamente diventato di proprietà del committente;
  • in virtù di un accordo separato, in deroga a quanto previsto al punto 3.2, l'oggetto della fornitura venga pagato parzialmente o per intero solo dopo la consegna, o in ambito impiantistico dopo l'accettazione (ad esempio pagamento rateizzato, dilazione, estensione del termine di pagamento concordata previamente o successivamente ecc.);
  • l'oggetto della fornitura (ad esempio fornitura "a prova", "per esame" o simili), o un dispositivo sostitutivo (ad esempio "in forma di misura provvisoria" e simili) già prima della stipula di un contratto di acquisto o per altre ragioni sia stato messo a disposizione del committente a titolo oneroso (ad esempio "in locazione" o simili) ovvero gratuito;

il committente si impegna a stipulare subito dopo la transazione un'assicurazione al valore a nuovo, ivi compresi tutti i costi accessori, contro tutti i rischi, fra cui incendio, danni provocati da elementi naturali, atti vandalici, furto, trasporto, manipolazione scorretta, errori di impiego, incidente ecc. e, a seconda del caso, a mantenerla fino al completo passaggio di proprietà, al pagamento per intero, alla restituzione o alla consegna definitiva dell'oggetto della fornitura ovvero del dispositivo sostitutivo al fornitore o al committente (assicurazione delle macchine). Il committente si impegna altresì ad assicurare a proprie spese il rischio operativo correlato al bene fornito per lo stesso arco di tempo (assicurazione di responsabilità civile). Inoltre, il committente si impegna a presentare al fornitore un debito giustificativo prima della consegna dell'oggetto della fornitura, ossia alla consegna franco fabbrica (punto 4.3). Il fornitore potrà negare la consegna della merce fintantoché non sarà fornita una prova idonea. Il fornitore potrà altresì assicurare personalmente l'oggetto della fornitura e addebitare gli eventuali costi al committente. Il committente cede sin da subito al fornitore i diritti e le pretese attuali e futuri nei confronti della compagnia di assicurazione, originati dal rapporto assicurativo. Con il presente documento, il fornitore accetta la cessione. I diritti decadono nel momento in cui la proprietà della merce passa definitivamente al committente e il prezzo di acquisto è stato completamente versato.

6.8 In presenza di pignoramenti, confische o altre azioni di terzi su beni o crediti su cui sussistono diritti di garanzia del fornitore, il committente dovrà informare quest'ultimo senza indugio e assisterlo nell'esercizio dei propri diritti. I costi di eventuali azioni giudiziarie ed extragiudiziarie saranno a carico del committente, qualora non possa essere richiesto un rimborso a terzi.

6.9 La richiesta di apertura della procedura di insolvenza sul patrimonio del committente autorizza il fornitore a recedere dal contratto con effetto immediato e a richiedere la tempestiva restituzione dell'oggetto della fornitura.

6.10 I punti 6.1, 6.3 e 6.9 valgono conformemente per i beni, le parti di macchine ovvero i componenti eventualmente accettati in pagamento dal committente ai sensi del punto 6.3 e per le macchine usate di qualsiasi tipologia.

7. Responsabilità per vizi

7.1 In presenza di un vizio della cosa entro il termine di prescrizione, la cui causa sussisteva già al momento del trasferimento del rischio, a propria discrezione, il fornitore potrà stabilire se riparalo in forma di rimedio o fornire un bene privo di vizi. L'azione correttiva avrà luogo tramite la sostituzione o la riparazione del bene difettoso nello stabilimento del fornitore, salvo nei casi in cui sia stato diversamente convenuto tra le parti esplicitamente o tacitamente (ad esempio tramite un'esecuzione in loco non contestata). Le parti sostituite diventeranno di proprietà del fornitore e si applicheranno di conseguenza le disposizioni al punto 6.

7.2 Affinché possa esercitare i propri diritti derivanti da una responsabilità per vizi, il committente dovrà ispezionare l'oggetto della fornitura immediatamente, al più tardi entro una settimana dalla consegna, al fine di individuare eventuali vizi e, qualora ne venga constatata la presenza, notificarli senza indugio al fornitore per iscritto. I vizi che non è stato possibile rilevare entro tale termine nemmeno con un'attenta verifica dovranno essere comunicati per iscritto al fornitore subito dopo la loro individuazione. Ai sensi della prima frase della presente disposizione, per consegna è da intendersi il momento in cui il committente acquisisce il controllo sull'oggetto della fornitura ovvero avrebbe potuto acquisirlo in assenza di colpa propria.

7.3 Le modifiche che concernono la progettazione o l'esecuzione, attuate prima della consegna del bene ordinato nel corso di una modifica generale sul piano della progettazione o della produzione presso lo stabilimento del fornitore, non saranno ritenute vizi dell'oggetto della fornitura, purché non rendano quest'ultimo inutilizzabile per lo scopo perseguito dal committente.

7.4 Qualora l'azione correttiva dovesse fallire, il committente dovrà concedere al fornitore un'estensione adeguata del termine per una nuova riparazione o fornitura sostitutiva. Qualora la riparazione non dovesse nuovamente riuscire, il committente potrà richiedere di ridurre il prezzo di acquisto dell'importo pari al deprezzamento dell'oggetto della fornitura dovuto al vizio o, a propria discrezione, recedere dal contratto. In presenza di un mero vizio non significativo, il committente godrà esclusivamente del diritto alla riduzione del prezzo contrattuale.

7.5 Previa consultazione, il committente dovrà concedere al fornitore o a terzi da questi incaricati il tempo e l'occasione necessari per eseguire gli interventi previsti in virtù della responsabilità per vizi (riparazioni o sostituzioni). Il committente potrà rimediare personalmente o tramite terzi a vizi la cui eliminazione spetta al fornitore a spese di quest'ultimo, soltanto nel caso in cui sia necessario per scongiurare un pericolo imminente per la sicurezza operativa ovvero per evitare danni sproporzionatamente elevati e qualora abbia previamente richiesto l'autorizzazione del fornitore.

7.6 La garanzia del fornitore non si estende ai costi consequenziali, risultanti dall'azione correttiva.

Nel caso in cui il vizio concerna una parte acquistata dal fornitore da terzi in qualità di fornitori per i propri prodotti, sin da ora questi cede al committente i diritti maturati dalla fornitura di detta parte acquistata da terzi o da contratti per servizi esterni. La responsabilità per vizi è limitata in tale misura. Qualora dalla cessione del diritto il committente non dovesse ottenere una compensazione adeguata, il fornitore risponderà fino alla scadenza del periodo di garanzia in via sussidiaria, ai sensi delle disposizioni delle presenti Condizioni generali di contratto.

7.7 Non costituiscono vizi della cosa:

  • la normale usura;
  • l'uso inadeguato o improprio;
  • il montaggio difettoso, opere di costruzione o l'avviamento non eseguiti correttamente dal committente o da terzi;
  • il trattamento improprio, scorretto o negligente;
  • lo stoccaggio improprio, l'installazione scorretta o un'area di fondazione inadeguata;
  • il mancato rispetto delle istruzioni d'uso pertinenti;
  • l'utilizzo di attrezzature inadatte;
  • l'utilizzo di materiali e componenti sostitutivi inadatti;
  • le sollecitazioni chimiche, elettrochimiche, elettromagnetiche, elettriche o di natura analoga;
  • la modifica dell'oggetto della fornitura da parte del committente (o di terzi da questi incaricati), salvo nel caso in cui non sussista un rapporto di causalità tra il vizio della cosa e la modifica;
  • l'installazione di componenti nonché di ricambi, parti di usura o altri elementi e l'uso di lubrificanti non forniti dal costruttore (i cosiddetti prodotti OEM), salvo nel caso in cui non sussista un rapporto di causalità tra il vizio della cosa e l'elemento installato;
  • la manutenzione assente o scorretta da parte del committente o di terzi, salvo nel caso in cui siano stati autorizzati a eseguire la manutenzione delle macchine o dell'impianto dal costruttore.

7.8 Qualora la fornitura dovesse includere del software, la responsabilità per vizi non comprenderà la correzione di errori del software e dovuti a un uso improprio, a errori di impiego, a usura naturale, a un ambiente di sistema inadeguato, all'applicazione di condizioni di utilizzo diverse da quelle indicate nella specifica e a una manutenzione insufficiente.

7.9 Il committente dovrà notificare tempestivamente per iscritto e in forma comprensibile e dettagliata i difetti del software, indicando tutte le informazioni adatte a permetterne il riconoscimento e un'analisi. In particolare, dovrà essere illustrato come si presentano e quali sono i rispettivi effetti.

7.10 I diritti per vizi della cosa e per vizi giuridici cadono in prescrizione dopo 12 mesi. Il termine di prescrizione inizia a decorrere con il trasferimento del rischio ai sensi del punto 5.1.

7.11 Le disposizioni contenute nel presente punto 7 disciplinano in via definitiva la responsabilità per vizi per i beni forniti dal fornitore. Gli altri diritti del committente, in particolare per danni che non concernono lo stesso oggetto della fornitura, soggiacciono esclusivamente al punto 8.

7.12 Si esclude espressamente qualsiasi responsabilità per vizi della cosa per le macchine usate.

8. Responsabilità

8.1 Il fornitore risponde per dolo e negligenza grave, per lesioni fisiche, mortali e pregiudizievoli della salute colpose, per vizi sottaciuti in mala fede dallo stesso o per i quali ha rilasciato una garanzia di qualità. Il fornitore risponde illimitatamente nell'ambio della responsabilità per danno da prodotti nonché in virtù di altre norme giuridiche imperative.

In presenza di una violazione colposa degli obblighi contrattuali fondamentali, il fornitore risponde anche per negligenza lieve, tuttavia limitatamente al 10 % del valore dell'ordine. Qualora tale limite non fosse consentito per ragioni giuridiche, la responsabilità per negligenza lieve sarà circoscritta al danno tipico in ambito contrattuale e ragionevolmente prevedibile alla stipula del contratto. In tal senso, gli obblighi contrattuali fondamentali indicano gli obblighi principali concretamente descritti, la cui violazione pregiudica il raggiungimento dello scopo contrattuale o, in termini astratti, gli obblighi il cui adempimento innanzitutto consente la corretta esecuzione del contratto e sul cui adempimento il committente può regolarmente contare.

8.2 Si notifica al committente che dovrà provvedere al backup dei dati prima dell'installazione e costantemente durante l'uso di un software. In caso di perdita di dati, il fornitore risponderà soltanto delle spese e dello sforzo richiesti per il ripristino degli stessi in presenza di una conservazione corretta da parte del committente.

8.3 Si esclude qualsiasi altra responsabilità risarcitoria, in particolare per i danni patrimoniali. Si esclude altresì la responsabilità per tutti i danni consequenziali, in particolare per il mancato guadagno.

8.4 I limiti di responsabilità di cui sopra si applicano sia in relazione alla motivazione che all'ammontare anche alle eventuali richieste di risarcimento dei danni avanzate dal committente nei confronti dei rappresentanti legali del fornitore, dei rispettivi dipendenti ovvero ausiliari.

9. Diritti su software / protezione dei dati

9.1 Qualora la fornitura dovesse includere dei software, al committente sarà concesso il diritto non esclusivo di utilizzare il software fornito, corredato della relativa documentazione, affinché venga impiegato nell'apposito oggetto della fornitura. Si vieta l'uso del software in più di un sistema.

9.2 Il committente non potrà riprodurre, rielaborare, tradurre il software o convertire il codice oggetto nel codice sorgente, salvo nel caso in cui tali interventi siano espressamente concessi dal contratto in via eccezionale o consentiti dalla legge. Il committente si impegna a non rimuovere le informazioni del costruttore, in particolare le note sui copyright, e a non modificarle senza la previa autorizzazione esplicita del fornitore.

9.3 Il fornitore, ovvero il fornitore del software, mantiene tutti gli altri diritti sul software e sulla documentazione, ivi comprese le copie. Non è consentita la concessione di sublicenze ovvero non è ammesso il trasferimento a terzi in qualsiasi altra forma.

9.4 Il fornitore non risponde del software già incorporato o installato futuramente (anche in forma di aggiornamento o upgrade), qualora venga impiegato in modo improprio dal committente. Un impiego o uso improprio sussiste in particolare quando il committente o un soggetto terzo

  • elimina, modifica o in altro modo influisce sui parametri dell'oggetto della fornitura senza l'autorizzazione scritta del fornitore, con la possibilità di compromettere la funzionalità della macchina;
  • installa un software (anche in forma di aggiornamento o upgrade) non autorizzato dal fornitore per il modello di macchina o impianto, acquistato dal committente;
  • installa un software (anche in forma di aggiornamento o upgrade) senza disattivare completamente la macchina o l'impianto durante l'intero processo di installazione, upgrade o aggiornamento, senza monitorare la macchina o l'impianto e verificarne costantemente il comportamento nonché senza tenere le persone a distanza. Le misure di sicurezza dovranno essere rispettate obbligatoriamente.

9.5 Valgono altresì i limiti di responsabilità di cui ai punti 7 e 8. Nel caso di un software fornito esclusivamente a titolo temporaneo, per il periodo della cessione la responsabilità di cui al punto 7 sarà limitata all'azione correttiva. Qualora quest'ultima dovesse fallire, in presenza di una cessione temporanea del software e dell'addebito di un canone separato per lo stesso, il committente potrà risolvere il contratto per giusta causa e, qualora il vizio comprometta in maniera più che irrilevante l'idoneità del software o del prodotto, avrà diritto a una riduzione del canone convenuto.

9.6 Nel caso in cui il committente abbia acquistato un dato software contestualmente all'acquisto di una macchina, di un impianto o di un componente ovvero separatamente (ad esempio per un sistema di gestione della flotta basato sul web come WITOS ecc.), la fruibilità dipenderà dalla tecnolo-gia di rete disponibile nonché dalle condizioni tecniche e geografiche del luogo di utilizzo. Il fornitore non garantisce né risponde in alcun modo delle interruzioni causate dall'operatore di rete (ad esempio la manutenzione necessaria per un funzionamento corretto della rete), delle restrizioni di altra natura dei servizi di telecomunicazione ovvero della soppressione di una tecnologia di rete obsoleta (ad esempio G2). In caso di dubbio, valgono conformemente i punti 7.6 e 8.3. Qualora vengano conservati dati della macchina ovvero dell'impianto (ad esempio sul funzionamento in condizioni d'uso, sui tempi di fer-mo ecc.) e trasmessi al fornitore, quest'ultimo potrà analizzarli, trattarli e utilizzarli illimitatamente per finalità interne a titolo gratuito, salvo nel caso in cui il committente si opponga espressamente. La divulgazione a terzi, ad esempio a scopo di referenze e confronti, è consentita purché avvenga in una forma atta a rendere i dati anonimi o il committente abbia espressamente acconsentito alla stessa, su richiesta.

9.7 Nel caso in cui vengano conservati dei dati personali nell'ambito di un'installazione, un upgrade o un aggiornamento, si applicheranno le seguenti condizioni:

Il fornitore garantirà il rispetto delle disposizioni giuridiche in materia di protezione dei dati. In particolare, se necessario per l'installazione di un software, i dati personali comunicati non saranno divulgati a terzi, bensì saranno conservati, trattati e utilizzati soltanto internamente per l'esecuzione del contratto. Inoltre, verranno eliminati non appena non saranno più necessari. Qualora l'eliminazione dovesse contrastare con i termini di conservazione legali, anziché essere eliminati tali dati saranno bloccati ai sensi delle norme di legge pertinenti.

Ove necessario in virtù di disposizioni legali in materia di protezione dei dati, prima della stipula del contratto il committente richiederà i consensi scritti necessari ai soggetti, i cui dati personali sono richiesti per l'esecuzione del contratto.

10. Diritti di proprietà di terzi

10.1 il fornitore risponde della violazione dei diritti di terzi per effetto della propria prestazione, soltanto qualora quest'ultima sia stata impiegata in conformità al contratto e soltanto nel luogo dell'utilizzo contrattuale della prestazione (luogo di consegna). Non sussistono diritti per vizi giuridici nella misura in cui si tratti esclusivamente di divergenze irrilevanti delle prestazioni del fornitore dalla qualità prevista dal contratto.

10.2 Qualora terzi dovessero avanzare delle pretese nei confronti del committente per la violazione dei propri diritti per effetto di una prestazione del fornitore, il committente dovrà informare tempestivamente quest'ultimo in merito. Il fornitore potrà, pur senza esserne obbligato, contestare le pretese avanzate a proprie spese, ove consentito. Il committente non potrà riconoscere le pretese di terzi prima di avere concesso al fornitore una possibilità adeguata per contestare i diritti di terzi in altro modo.

10.3 Nel caso in cui siano state avanzate pretese di detto tipo, il fornitore potrà acquisire a proprie spese un diritto di utilizzo, modificare il software (programmi di licenza), sostituirlo con un prodotto equivalente o, qualora non possa conseguire un altro rimedio con uno sforzo ragionevole, ritirare la prestazione con il rimborso del corrispettivo versato dal committente a tal fine, al netto di una congrua indennità per l'uso. A tal fine, gli interessi del committente saranno tenuti in debita considerazione.

10.4 Per le richieste di risarcimento dei danni e di rimborso delle spese vale altresì il punto 8.

11. Controllo delle esportazioni

11.1 Le forniture contemplate nel presente contratto soggiacciono alla condizione, secondo cui l'esecuzione non contrasta con impedimenti dovuti a disposizioni nazionali o internazionali in materia di controllo delle esportazioni, come nel caso dell'embargo o di altre sanzioni. Il committente si impegna a fornire tutte le informazioni e tutti documenti necessari per l'esportazione o la spedizione. I ritardi dovuti a controlli alle esportazioni o alle procedure di autorizzazione invalidano i termini e le date di consegna. Qualora le autorizzazioni necessarie non dovessero essere concesse, ovvero la fornitura e il servizio non fossero autorizzabili, in relazione alla parte interessata il contratto varrà come non stipulato.

11.2 Il fornitore potrà risolvere il contratto senza preavviso, qualora la risoluzione da parte dello stesso sia necessaria per l'osservanza di norme giuridiche nazionali o internazionali.

11.3 In caso di risoluzione ai sensi del punto 11.2, si esclude al committente la possibilità di avanzare una richiesta di risarcimento dei danni o di esercitare altri diritti in conseguenza alla risoluzione.

11.4 Qualora il committente dovesse trasferire a terzi la merce fornita dal fornitore, tanto sul territorio nazionale quanto all'estero, dovrà osservare le disposizioni applicabili del diritto nazionale e internazionale in materia di controllo delle esportazioni.

12. Diritto applicabile, foro competente, clausola salvatoria

12.1 Il rapporto contrattuale tra il fornitore e il committente è disciplinato esclusivamente dal diritto del paese in cui il fornitore ha la propria sede. Si escludono le disposizioni della Convenzione sui contratti per la vendita internazionale di beni mobili (CISG).

12.2 Foro esclusivo per tutte le controversie derivanti dal rapporto contrattuale tra il fornitore e il committente, anche per le pretese originate da cambiali o assegni, è il tribunale competente per la sede centrale del fornitore. Tuttavia, il fornitore potrà, a propria discrezione, citare in giudizio il com-mittente anche presso il rispettivo foro generale.

12.3 Qualora una o più disposizioni, o parti di esse, delle presenti Condizioni di fornitura e vendita dovessero essere o diventare inefficaci per qualsiasi ragione, le restanti disposizioni manterranno la propria validità. Il committente e il fornitore si impegnano a sostituire le disposizioni ovvero le parti inefficaci con norme giuridicamente lecite, che dal punto di vista economico meglio corrispondono alla norma originaria. Lo stesso vale per le lacune non intenzionali.

General Terms and Conditions of Hire

1. Scope

1.1 All offers to hire machines shall be made exclusively on the basis of these General Terms and Conditions of Hire. Conflicting or deviating terms and conditions of a Lessee shall not be accepted. This shall apply even if the Lessor delivers the machine to the Lessee without restriction with knowledge of the Lessee’s conflicting or deviating terms and conditions. Deviations from these Terms and Conditions of Hire shall only be valid when confirmed by the Lessor in writing.

1.2 These Terms and Conditions of Hire shall also apply to all future transactions of the same kind with the same Lessee, without specific further agreement being required.

1.3 Services involving on-site installation are additionally subject to the Lessor’s Terms and Conditions of Repair and Installation.

2. Offer and conclusion of agreement

2.1 The Lessor’s offers are always subject to confirmation, unless expressly otherwise stated. Cost estimates are non-binding. Unless otherwise agreed, first offers or cost estimates shall be provided free of charge. The Lessor reserves the right to charge a reasonable fee for further offers or cost estimates as well as for draft works if no rental agreement comes into existence.

2.2 A rental agreement shall come into existence only upon written confirmation by the Lessor. Any changes, amendments or side agreements shall also require written confirmation by the Lessor.

2.3 The documents relating to the offer, including but not limited to illustrations, drawings, and details on weight and measurements, are approximations only, unless they are expressly marked as binding by the Lessor.

2.4 The Lessor reserves all ownership and copyrights to illustrations, drawings, cost estimates, calculations and other documents, which shall not be disclosed to any third party without the Lessor’s express prior written consent. They are to be returned to the Lessor without delay

(i) if no rental agreement comes into existence, or
(ii) as soon as the rental agreement has been executed in full.

2.5 Where the Lessor lends the machine (e.g. for demonstration purposes or as an interim measure), the provisions of the rental agreement shall apply mutatis mutandis.

3. Rental period

3.1 Unless otherwise agreed, the rental period shall start upon delivery to the Lessee (see clause 8.1). If the parties have not agreed on an end date, the Lessee and the Lessor shall agree on a basic rental period on a daily, weekly or monthly basis starting on the delivery or on the agreed date. Unless otherwise agreed, the basic rental period shall be one month.

3.2 In the event the machine has not been returned to the Lessor after expiry of the basic rental period, the rental agreement shall be extended automatically by a period which corresponds to the basic rental period, unless such agreement is terminated in good time before expiry of the basic rental period or any subsequently extended rental period. Notice of termination shall be deemed to have been given in good time if it is received by the Lessor not later than three working days before the end of the rental period if the basic rental period has been agreed on a daily basis, not later than one week before the end of the rental period if the basic rental period has been agreed on a weekly basis, and not later than one month before the end of the rental period if the basic rental period has been agreed on a monthly basis.

3.3 Notice of termination must be given in writing without the necessity to specify reasons.

3.4 At the end of the rental relationship, the Lessee must promptly return the machine in a proper condition, e.g. in particular clean and workable. The machine is to be returned completely, e.g. including all add-ons and components, cleaned and undamaged.

3.5 Any defects in or damage to the machine which go beyond normal wear and tear, and/or have arisen through incorrect use, shall be the responsibility of the Lessee.

3.6 In the event the Lessee continues to use the machine after termination of the agreement by giving notice of termination, the rental relationship shall not be regarded as having been extended. A tacit extension of the rental relationship shall not apply. If the Lessee fails to return the machine at the end of the rental relationship, the Lessor may request the agreed rent for the duration of the failure to return as compensation or, in case no rent was agreed, at a usual market rental rate. The Lessee waives any right of retention for whatever reason.

3.7 If the Lessee defaults on payment, the Lessor shall be entitled to claim default interest. The default interest rate per annum amounts to eight percentage points above the basic rate. The basic rate changes every 1st January and 1st July of a year by the percentage by which the reference basic rate has increased or decreased since the last change in the basic rate. The reference base is the interest rate for the most recent principal financing transaction of the European Central Bank before the first calendar day of the relevant half year. The Lessor may assert higher default damage if proof is provided. However, the Lessee is entitled to prove that the damage incurred as a result of the default in payment was lower.

3.8 If the Lessor becomes aware of circumstances that call the Lessee’s creditworthiness into question, then all deferred claims shall immediately fall due for payment. Furthermore, the Lessor may in such case request advance payment or the provision of security.

4. Rent and payment of rent

4.1 The rent shall be charged according to depending on the basic rental period agreed (clause 3.1), i.e. per day, week or month. The calculation of the rent is based on the normal monthly working hours, i.e. a maximum of 8 hours of use per day. If, on this basis, the calculated period of use is expected to be exceeded or is actually exceeded by more than 5%, the Lessor may adjust the rent according to the expected or actual period of use. The Lessee shall notify the Lessor without delay of the actual or expected additional use of the machine.

4.2 The rental price does not include the statutory value added tax. The parties endeavour to avoid any unnecessary expenses or infringements of tax or customs regulations. The Lessee is therefore obliged to provide all requisite information where necessary. The parties will strive in all cases where legally permissible to ensure that the Lessor receives the full rent without any deduction whatsoever. Charges, taxes or customs duties shall be borne by the Lessee.

4.3 The rent does not cover wear and tear of wearing parts. The Lessor is entitled to charge the Lessee the costs for wear and tear in accordance with the use of the machine.

The calculation of the costs for wear and tear of wearing parts shall be based on the data on wear and tear set out in checklists or comparable records providing information on the condition of the machine. The costs shall be calculated as a percentage, depending on the current selling price of the respective wearing parts plus any work time which may be incurred. Other costs for the operation and repair of the machine during the rental period shall be borne by the Lessee.

4.4 The Lessor shall issue rent invoices. The Lessor is entitled to issue partial invoices during the basic rental period. If the basic rental period has been agreed for days or weeks, the Lessor is entitled to invoice at weekly intervals. If the basic rental period is in weeks or months, the Lessor may issue partial invoices at monthly intervals. The amount of the partial invoices shall be determined proportionately.

4.5 The Lessor is entitled to request advance payments. If the Lessor requests an advance payment before delivering the machine for duration of the basic rental period, the Lessor may refuse to surrender the machine until receipt of the advance payment has been received.

4.6 The rent shall be payable, without any deduction, not later than 8 days from the date of invoice.

4.7 The Lessee shall not be entitled to offset, withhold or reduce the rent, unless any counterclaims are either not disputed by the Lessor or have been established by final and non-appealable judgement. The same shall apply in the case of an assertion of warranty claims.

4.8 Any fees under public law, premiums and other charges levied during the agreement due to the rent, possession or use of the machine, shall be borne by the Lessee. This shall also apply to investigations ordered by authorities. If any such claims are asserted against the Lessor or if the Lessor is required to make advance payments, the Lessee is obliged to reimburse the costs to the Lessor.

4.9 Delays in the delivery of the machine due to force majeure or other events which substantially impede or prevent delivery by the Lessor, such as war, terrorist attacks, import and export restrictions, strike, lockout or orders made by the authorities, even if they relate to the suppliers or sub-suppliers of the Lessor, shall not entitle the Lessee to terminate the rental agreement unless otherwise agreed. If possible, the Lessor shall inform the Lessee about the start, end and expected duration of the aforementioned circumstances.

4.10 The Lessor is not in default if the Lessor provides the Lessee with a replacement, in compliance with the agreed delivery date, for the time until the delivery of the actual machine, provided that such replacement meets the Lessee’s technical and functional requirements in all material respects, and the Lessor bears all costs incurred for providing the replacement.

4.11 If the Lessor is in default and the Lessee suffers any damage as a consequence, the Lessee shall be entitled to request lump sum default compensation. Such compensation shall amount to 0.5 % of the value of that part of the entire delivery which cannot be used in time or according to the agreement due to the delay for each full week of delay, up to a maximum of 5 % of such value in total. Any additional claim for damages based on default shall be excluded.

5. Duties of the Lessee

5.1 The Lessee is obliged:

  • to protect the machine from overuse of any kind and to ensure its correct use, particularly by trained personnel;
  • to have the machine serviced and maintained at the Lessee’s expense and at regular intervals either by the Lessor or by a third party commissioned by the Lessor;
  • to follow the service, maintenance, and operating instructions of the Lessor and/or of the manufacturer of the machine;
  • to ensure that inspections are carried out by the Lessor or by a third party commissioned by the Lessor at regular intervals as specified by the manufacturer (for example in a machine service record) at the Lessee’s expense;
  • to ensure the machine's operability for the duration of the rental period by having the necessary repair work done by the Lessor or a third party commissioned by the Lessor in a due and proper manner using original spare parts at the Lessee’s expense – this provision applies to wearing parts accordingly - and
  • to observe and comply with all laws and regulations in connection with the possession, use or maintenance of the machine.

The Lessee shall indemnify the Lessor against any third party claims that may arise from culpable non-compliance with these duties.

5.2 Upon request, the Lessee shall grant the Lessor or the Lessor’s agents access to the machine at any time during normal working hours and upon prior agreement in order to check the use and operability of the machine. Any costs that are directly or indirectly incurred by either party in this connection shall be borne by such party itself.

6. Sub-letting

6.1 The Lessee may only sub-let the machine to a third party, assign rights under this Agreement or grant rights to the machine of any kind with the Lessor’s prior written consent.

6.2 The Lessee shall be responsible for any fault of a third party which it authorised to use the machine to the same extent as for its own faults and shall accept such fault.

6.3 The Sub-lessee shall be advised that it may acquire the machine only with the consent of the owner (Lessor). On signing the sublease agreement, the Sub-lessee shall confirm in writing knowledge of the ownership relationships and requirements of consent by the Lessor for any intended acquisition of the machine. The Lessee shall immediately notify the Lessor in case of the termination of the sublease.

7. Pledging of the machine or similar

7.1 In the event of acts of authorities, confiscations, pledges or similar, irrespective of whether they are initiated at the instigation of an authority or of a private person, the Lessee shall immediately inform the authority or other party about the ownership relationships verbally and in writing and also notify the Lessor without delay, providing all necessary documents.

7.2 The Lessee shall immediately notify the Lessor if a compulsory sale or compulsory administration is filed with respect to the property on which the machine is located.

7.3 The Lessee shall bear the costs for any measures to rectify any such interventions.

8. Transfer of risk

8.1 The delivery shall be made on the date of the contractually agreed delivery or on the date of the actual delivery, whichever comes first. When the machine is delivered, a checklist or a handover document shall be prepared in order to determine the condition of the machine. The Lessee undertakes to cooperate in preparing and completing the documents on delivery. For this purpose, the Lessee or an authorized employee or a third party shall be present when deliveries are made. If this is not the case, the machine shall be deemed to have been handed over as recorded by the Lessor.

8.2 Upon delivery, the risk of loss or damage to the machine shall pass to the Lessee. Delivery shall be deemed to have been made even if the Lessee is in default of acceptance according to §293 BGB (German Civil Code).

The place of delivery (place of performance) is always the premises of the Lessor, irrespective of whether the machine is shipped by the Lessor, brought to the Lessee’s premises or its place of use by the Lessor or a third party commissioned by the Lessor or is collected by the Lessee itself or by a third party commissioned by it.

If the machine is located at a different place before the start of the rental period or transfer (for example at the premises or place of use of a previous lessee or at the manufacturer) and if it is shipped or transported from there by the Lessor or an affiliated company or by a third party commissioned by them to the Lessee for use or if the Lessee or a third party commissioned by it collects the machine at such place, this place shall be equivalent to the Lessor's premises.

8.3 The Lessee shall bear the costs of commissioning and maintenance work arising from any damage that occurs after the risk has been transferred to the Lessee. This shall also apply in the event of theft or other loss as well as destruction or significant deterioration which makes repair uneconomical. In this case, the Lessee shall reimburse the Lessor the fair value of the lost machine.

8.4 The Lessee shall cease to bear the risk as soon as the machine has been returned to the Lessor's premises due to or following the end of this Agreement (date of the actual return).

For the return of the machine, the place of delivery shall also be the Lessor’s premises, irrespective of whether the machine is shipped by the Lessee, brought to the Lessor’s premises by the Lessee or a third party commissioned by the Lessee or collected by the Lessor itself or by a third party commissioned by the Lessor.

If the Lessee ships or transfers the machine to a different place (for example to the place of use of a subsequent Lessee or to a purchaser) on prior instruction of the Lessor or if the machine is collected by the Lessor or a third party commissioned by the Lessor from the Lessee and brought to a place other than the Lessor's premises, this place shall be equivalent to the Lessor's premises.

8.5 If shipping is delayed or omitted due to circumstances not attributable to the Lessor, the risk shall pass to the Lessee as from the date of notification of readiness for shipping or acceptance.

8.6 If the Lessee is in default of delivery or infringes any other obligations to cooperate, the Lessor shall be entitled to request compensation for the damage incurred, including any additional expenses, in particular the costs incurred by the delayed acceptance of delivery.

9. Liability of the Lessee

9.1 The Lessee shall be liable for the operational risk associated with the machine.

9.2 If third parties claim damages from the Lessor or from a company affiliated with the Lessor due to personal injury or damage to property – irrespective of the legal reason – based on the operational risk associated with the rented machine the Lessee shall indemnify the Lessor within their internal relationship against all such claims and costs.

9.3 In the event of a claim of any kind whatsoever the Lessee shall be obliged to immediately notify the Lessor about the circumstances, extent and parties involved and to provide the Lessor with all requisite information.

10. Liability for defects and compensation of damages by the Lessor

For all claims for damages asserted by the Lessee which are not governed by this Agreement – irrespective of the underlying legal foundation – and in particular claims for compensation which do not relate to the machine itself, the Lessor shall be liable only:

  • in the case of wilful intent;
  • in the case of gross negligence by the Lessor's corporate organs or executive employees;
  • in the case of culpable injury to life, body or health;
  • in the case of defects which the Lessor has fraudulently concealed or the absence of which the Lessor has warranted as part of a separate guarantee; or
  • in the case of defects to the rented machine to the extent that the Lessor is liable under the Product Liability Act for personal injury and damage to property which is used privately.

In the case of culpable infringement of material contractual obligations, the Lessor shall also be liable for gross negligence of non-executive employees and for slight negligence, though in the latter case liability shall be limited to typical and reasonably foreseeable damage.

All further claims, in particular liability for consequential damage, shall be excluded.

11 Machine and business liability insurance

11.1 The machine and its operation must be covered by insurance.

11.2 The machine insurance may be taken out by the Lessee or by the Lessor after agreement.

In the event that the parties agree that the Lessee should insure the machine, or if the parties have not made any agreement, the Lessee shall be obliged to take out a machine insurance (including the risk of transportation) at the replacement value, including all ancillary costs, in favour of the Lessor for the duration of the rental period or for the duration of use covering all risks including fire, natural hazards, vandalism, theft, transportation etc.

The Lessee assigns its current and future rights and claims against its machine insurer arising out of the insurance policies for which it has assumed the burden of insurance here and now to the Lessor. The Lessor hereby accepts the assignment.

The insurance of the Lessor must contain the following provisions which the insurer must confirm:

  • The policyholder/Lessee is not authorised to dispose of the rights to which the Lessor is entitled under the insurance policy in its own name. The Lessor is solely entitled to dispose of these rights, in particular to accept compensation, even if it is not in possession of the insurance policy.
  • The policyholder may not cancel the insurance, may not reduce the amount of the premium and must continue it in an unaltered form unless the Lessor has agreed to a different procedure in writing and the policyholder has submitted this declaration of consent to the insurance company, which must have been effected at least one month before expiry to be valid. The Lessor is entitled but not obliged to pay the due insurance premium.

11.3 The following applies to business liability insurance:

The Lessee undertakes to insure the operating risk associated with the machine in all events at its own cost (liability insurance).

11.4 Before the machine is handed over, the Lessee shall prove - by presentation of a suitable insurance certificate or certificates - that the rented machine is covered by business liability insurance for the duration of the rental agreement and, where the Lessee has committed to taking out machine insurance, is covered by machine insurance. The requisite insurance certificate or certificates must contain all necessary details on the type, scope and duration of the respective insurance.

Failure to submit insurance certificates or the submission of incomplete insurance certificates upon the handover of the machine shall entitle the Lessor to retain the machine until such time as the requisite insurance certificates have been provided. If the Lessor does not exercise its right of retention, the Lessee shall submit to the Lessor the requisite insurance certificate(s) without delay and not later than 10 working days after handover of the rented machine. If the insurance certificate(s) are not submitted, the Lessor is entitled to take out the requisite insurance at the Lessee's expense. In the intervening time until insurance certificate(s) have been submitted or the requisite insurance policies have been taken out by the Lessor, the Lessee shall be liable – subject to clause 10 of these Terms and Conditions of Hire – for all damages, including without limitation consequential damages, arising for any reason whatsoever associated with the lack of insurance cover although such cover has been agreed.

In the event of retention, the Lessor is entitled to request the agreed rent at the beginning of the rental period.

11.5 Any deductibles due under the respective insurance policies shall be borne by the Lessee in the case of a claim, irrespective of whether the insurance was taken out by the Lessee or the Lessor.

11.6 If the rented machine has been subjected to a criminal act (theft, possibly also of spare parts, embezzlement, criminal damage to property or similar), the Lessee shall promptly file a complaint with the competent authority (public prosecutor office, police) and notify the Lessor immediately. If the return of the machine is impossible due to the criminal act (particularly in the case of theft or embezzlement), and if no insurance cover exists in whole or in part - for whatever reason -, the Lessee shall also be liable if it is without fault and shall reimburse the Lessor with the fair value of the machine at the time of theft or embezzlement. The fair value shall be equal to the amount which the Lessor must pay to purchase an equivalent machine.

12. Termination without notice

The Lessor shall be entitled to terminate the Agreement without notice if:

  • the Lessee defaults on a rental payment or any other specially agreed payment in whole or in part for longer than five banking days;
  • the Lessee fails to satisfy the obligations set out in clause 5;
  • the Lessee sub-lets the machine to a third party without the Lessor's prior written consent (clause 6);
  • the Lessee assigns rights from this Agreement to a third party or grants third parties rights to the machine, in either case without the permission of the Lessor;
  • the Lessee modifies the machine within the meaning of clause 13 without the consent of the Lessor; or
  • material circumstances become known which fundamentally call into question the Lessee's ability to fulfil the rental agreement, such as discontinuation of payments, bill protests, enforcement measures or insolvency.

13. Modifications to the machine

Modifications to the machine, in particular attaching, installing and removing parts, must not be made without the consent of the Lessor. If changes have been made with the Lessor's consent, the Lessee shall at its own expense restore the machine to its original condition at the end of the rental agreement.

14. Statute of limitations

All claims which the Lessee may have for whatever reason shall fall under the statute of limitations within twelve months. The statutory period shall apply to claims for damages set out in clause 10.

15. Rights to software / data protection

15.1 If the machine contains software, the Lessee is granted a non-exclusive right to use the delivered software, including its documentation, for application on the machine intended for this purpose. Using the software in more than one system is prohibited.

15.2 The Lessee may reproduce, revise or translate the software or convert the object code into the source code only to the extent permitted by law. The Lessee undertakes not to remove or change any manufacturer information, in particular copyright notes, without the Lessor’s express prior approval.

15.3 All other rights to the software and any related documentation, including copies thereof, shall remain with the Lessor or software provider. The granting of sub-licences or any passing-on to third parties in any other form is prohibited.

15.4 The Lessor shall not be liable for software which is already installed or will be installed in the future (including any software upgrades or updates) if the Lessee uses the software improperly. In particular, an improper handling or use is deemed to have occurred if the Lessee or a third party:

  • deletes, changes or otherwise influences any machine parameters of the rented machine without written consent of the Lessor, so that the functionality of the machine can be impaired;
  • installs software (including a software upgrade or update) not authorised by the Lessor for the respective type of machine acquired by the Lessee; or
  • installs software (including a software upgrade and update) authorised by the Lessor for the respective type of machine sold while the engine is running and does not observe the machine during the entire installation, upgrade or update process and fails to continuously monitor its behaviour and keep persons at a distance.

15.5 The Lessor is entitled to equip the machine with Fleet View and similar systems (e.g. WITOS or similar), which store machine data (e.g. on ongoing operations, standby times, etc.) and transmit them to the Lessor. The Lessor is entitled to analyse and process such data and use them without restrictions and without charge for internal purposes, unless the Lessee expressly objects. The data may be disclosed to third parties, e.g. for purposes of reference and comparison, if the data is anonymised or if the Lessee, upon request, expressly consents to the disclosure.

15.6 For the event that personnel data are stored within the scope of installation, upgrade or update, the following shall apply:

The Lessor ensures compliance with the statutory data protection regulations. In particular, as far as this is required for installing software, any provided personal data shall not be disclosed to any third party; rather, any such personal data shall be processed and used exclusively internally for performing the rental agreement. The data shall be deleted when no longer necessary. Should such deletion not be possible due to statutory retention periods, such data shall be blocked instead of deleted, in accordance with the applicable statutory regulations.

Where required by the statutory data protection regulations, the Lessee shall, prior to the conclusion of the respective agreement, obtain the necessary written consent of the person whose personal data are required for satisfying the Agreement.

16. Proprietary rights of third parties

16.1 The Lessor shall only be liable for infringement of third party rights resulting from the use of the machine by the Lessee in accordance with the rental agreement for the intended purpose.

16.2 If any third party asserts claims against the Lessee for infringements of its rights by the Lessee, the Lessee shall notify the Lessor without delay. The Lessor shall be entitled, without being obliged, to defend against the asserted claims at its own expense to the extent permitted by law. The Lessee is not entitled to acknowledge any third party claims before having given the Lessor reasonable opportunity to defend against third party rights by other means.

16.3 Clause 10 shall additionally apply with regard to any claims for damages and reimbursement of expenses.

17. Export control

17.1 Any delivery of the machine outside of the country in which the Lessor is domiciled shall be subject to the proviso that performance does not conflict with any national or international export control regulations, for example embargoes or other sanctions. The Lessee undertakes to provide all information and documents required for the export or transfer. Delays resulting from export controls or permission procedures shall set aside any delivery periods agreed. If necessary permissions are not granted, or if the usage cannot be approved, the rental agreement shall be deemed as not concluded with regard to the subject matter concerned.

17.2 The Lessor is entitled to terminate the rental agreement without notice if termination on the part of the Lessor is required for compliance with national or international legal regulations.

17.3 In the event of a termination under clause 17.2, the assertion of any claim for damages or the assertion of other rights by the Lessee based on the termination shall be excluded.

17.4 The Lessee is not entitled to use or sub-let the machine abroad if this is contrary to national and international export control law.

18. Applicable law, place of jurisdiction, severability clause

18.1 The contractual relationship between the Lessor and the Lessee shall be exclusively subject to the laws of the country in which the Lessor has its registered office.

18.2 Exclusive place of jurisdiction for all disputes arising from the contractual relationship between the Lessor and the Lessee, including claims arising from bills of exchange and cheques, shall be the court competent for the Lessor’s principal place of business. However, the Lessor may, at its discretion, also bring action against the Lessee at the latter’s general place of jurisdiction.

18.3 If one or several provisions or parts of any provision of these Terms and Conditions of Hire are or become invalid for any reason whatsoever, this shall not affect the validity of the remaining provisions. The Lessee and the Lessor undertake to replace the invalid provisions or partial provisions by such legally valid provisions which most closely approximate the economic intent of the invalid provisions

Special Terms and Conditions for Supervisor Assemblies

1. Scope and Conclusion of the Contract

1.1 These Special Terms and Conditions for Supervisor Assemblies supplement the WIRTGEN MACCHINE Srl. General Terms and Conditions of Service and General Terms and Conditions of Sale and Supply.

1.2 Insofar as a Supervised Assembly is not already the subject of a supply or service contract, the Contract is deemed concluded upon written confirmation by the Contractor.

2. Service Performed by the Supplier or Contractor

2.1 Insofar as the terms of a Supervised Assembly have not already been contractually stipulated as part of a supply or service contract, the following Section 2.2 will serve as the contractual description of the Supervised Assembly service.

2.2 The Contractor is responsible for supervising the mechanical assembly, electrical assembly, and commissioning, including a trial period until the system is ready for operation (hereinafter referred to collectively as “Supervised Assembly”), of systems or system components owned by the Client that the Client has purchased from the Contractor and/or from third parties. Insofar as the Client only engages the Contractor to carry out “supervised electrical assembly” and/or “supervised mechanical assembly” and/or “commissioning,” these Special Terms and Conditions of Supervised Assembly will only apply to this limited scope. The provisions contained herein do not apply insofar as they are of no significance to the underlying contractual relationship.

Mechanical assembly, electrical assembly, commissioning, and trial operation of the system or system components are carried out by the Client independently and on the Client’s own responsibility. In this context, the Contractor will provide a supervisor or supervisors who will support the Client by issuing technical instructions and familiarizing the Client’s personnel with the use of the system or system components.

2.3 Supervision and instruction by the Contractor will be carried out by qualified personnel who are familiar with the assembly and operating instructions of the system or components thereof.

3. Assembly and Client’s Duty to Cooperate

3.1 The Client must designate a contact person prior to the commencement of performance who will receive the technical instructions from the supervisor(s). As the Client’s assembly coordinator, this individual will serve as the sole contact person for the Contractor and must have a sufficient command of the German or English language.

3.2 The Client will carry out mechanical assembly, electrical assembly, commissioning, and trial operation with sufficient in-house and/or external personnel. The Client must ensure that the personnel employed are qualified to carry out these activities. In particular, these individuals must be qualified to perform mechanical and electrical work. Unless otherwise stipulated in the Contract, agreed at the beginning of Supervised Assembly, or coordinated with the Contractor, the Client must provide skilled workers who have completed vocational training as metalworkers, mechanics, welders, or electronics technicians (in particular with the ability to carry out electrical installation work in the low-voltage range up to 380 V), as well as assistants. If any of the Client’s personnel proves to be insufficiently qualified, the Client is obligated to replace such person(s) at the Contractor’s request. The Client is also obligated to provide additional personnel at the Contractor’s request.

The Client guarantees that the personnel employed are adequately insured, in particular against occupational accidents, in accordance with the legal provisions and any other regulations applicable at the installation site, and that all other applicable legal provisions and other regulations, e.g. with respect to illegal employment, minimum wages, etc., are fully observed.

3.3 The Client guarantees that the supervision and instruction by the Contractor as well as the mechanical assembly, electrical assembly, commissioning, and trial operation itself can be carried out safely in accordance with the applicable occupational safety laws and regulations, including regulations on working time, applicable at the assembly site. The Client must instruct its personnel accordingly in this regard and equip said personnel with the personal protective equipment required for the activities.

When carrying out work on site, the Client must comply with the requirements applicable in the country where the installation site is located. In the case of sites in the Federal Republic of Germany, the Verordnung über Sicherheit und Gesundheitsschutz auf Baustellen (“Baustellenverordnung”; Ordinance on Safety and Health Protection on Construction Sites (“Construction Site Ordinance”)) particularly applies; in other European Union countries, the provisions of European Directives transposed into national law apply, as will any supplementary national law. In the case of sites in countries outside the European Union, an average European standard should be observed. Stricter national regulations must be observed, and the Client must notify the Contractor of such regulations.

In the event of imminent danger, in particular danger to the life and limb of the Client’s personnel, other third parties, or the supervisor(s) themselves, as well as in the event of danger to major property and assets, the Client’s personnel must immediately cease their activities at the instruction of the Contractor. The Contractor will notify the Client and the installation coordinator of the situation – if possible in writing, if necessary via text message or other messaging service, or verbally. After being notified of the situation, the Client must implement the necessary measures to eliminate the risk. Work may not be resumed until the risk has been fully eliminated.

3.4 The Client is responsible for providing all of the assembly and operating instructions and other documents relevant to the assembly of the system or system components, such as factory standards, tools (including those for calibration), operating and auxiliary materials, media (in particular water, electricity, and compressed air), welding equipment (gas/oxygen), slings and safety equipment (in particular for work at height, such as harnesses, etc.), as well as all operating materials and additives required for trial operation, commissioning, and instruction. In the case of asphalt production systems, the Client must guarantee a daily production of at least 400 tons of asphalt for commissioning (including fine-tuning), unless a different amount has been stipulated in the supply or service contract.

The Client must ensure that a mobile telephone is available to the parties at the site, and that an Internet connection for data transfers that meets the requirements stipulated in the Contract as well as meets an international standard for data transfer, in particular for uploading and downloading via remote service, is simultaneously available.

3.5 The Client must arrange, book, and provide, at its own expense, accommodations for the supervisor(s) in a hotel with a reasonable standard of cleanliness and service in the form of a single room or apartment, each with its own bathroom. Furthermore, the Client is responsible for arranging, at its own expense, transportation between the accommodations and the installation site for the supervisor(s). If Supervised Assembly lasts more than one week, the Client is responsible for ensuring, at its own expense, that the supervisor(s) can travel freely in the vicinity of the assembly site on weekends, for example by providing a rental vehicle (Central European compact car standard).

3.6 If the Client fails to comply with the aforementioned duties to cooperate and/or the duties to cooperate stipulated in the supply or service contract, or fails to do so in a timely manner, and if the assembly work cannot be commenced or continued as a result, the Contractor reserves the right not to commence or to interrupt Supervised Assembly, as the case may be. Scheduled dates will be extended in accordance with the duration of the interruption and an extra fee will be charged for the resumption of Supervised Assembly and any postponement to an unfavorable time of year.

4. Fees

4.1 Unless otherwise stipulated in the contract governing Supervised Assembly, the Contractor’s schedule of fees for Supervised Assembly will apply.

4.2 If the Client does not comply with its duties to cooperate under the supply or service contract and/or these Special Terms and Conditions of Supervised Assembly, the Contractor is entitled to compensation for the resulting additional expenses for the storage of the system or components in the amount of 0.5% of the value of the goods as specified in the supply contract per full week, up to a maximum of 3%.

In addition, the Contractor is authorized to issue invoices at its own discretion, if necessary in the form of partial invoices, for services rendered to date.
